Vancouver, British Columbia–(Newsfile Corp. – January 13, 2026) –

Dear Shareholders,

Welcome to 2026. Magma Silver started 2025 without a project and in January acquired 100% control of Niñobamba, a primary silver asset in the mining-friendly country of Peru. This places Magma in a highly leveraged position relative to silver prices. By the end of 2025, we had a silver-gold asset that is drill-ready and permitted in a market that is significantly revaluing both precious metals. 2026 will be a year of confirming existing resources and meaningful expansion through an effective and intelligent utilization of a fully funded exploration program.

In 2025, Magma completed the acquisition of the controlling interest in Niñobamba on favorable business terms, established operations in Peru, and retained consultants to maintain a sound relationship with the affected communities. Our technical team, with a combined 60 years of experience in the Peruvian mining sector, reviewed vast amounts of historical data and conducted two field programs to verify the accuracy of known geological data and to collect additional samples to expand our knowledge base as a precursor to the upcoming 2026 drill program.

Magma had meaningful advancements on the corporate side during the year. We completed financings totaling $6.5M to fully fund our programs through 2026. Through these financings and warrant exercises, we ended the year with over $5M in the treasury. The oversubscribed $5M financing, which closed in October, was led by Research Capital and attracted a more mature investor audience, including Eric Sprott, who now holds a 13.4% fully diluted interest, marking an important shift toward a long-term shareholder base. Magma’s share price increased by 209% during 2025.

2026 will be an expansion and new discovery year for Magma. Niñobamba has been quietly waiting to show its potential. Drills will turn in Q1 on one segment of the project for the first time since 2010, and drilling and assay results are expected to continue throughout the year. Concurrently with drilling, our team will conduct surface sampling, trenching, and geological mapping on the balance of the project, in preparation for an expanded drill program on high-potential but not drill-tested silver and gold targets. Niñobamba is a shallow-to-near-surface project, so assayed samples from surface work will provide a meaningful indication of mineralization lying slightly deeper. We will begin adding compliant ounces to further support the project’s potential.

We will continue our efforts commenced in late 2025 to bring the Niñobamba project to the attention of the strategic long-term investment community through conferences, direct contact, and other media. We will maintain our relationship-building process with the affected local communities, as that is paramount to a successful long-term operation and of the utmost importance within our corporate philosophy.

Historical work by Newmont, AngloGold, Bear Creek, and Rio Silver indicated Niñobamba would be a viable mining operation at lower silver and gold prices. The two field programs conducted by Magma in August and September of 2025 confirmed and, in certain cases, exceeded the historical results. Highlights from the Joramina and Randypata programs included (news release dated October 30, 2025):

  • Grab sampling on the Joramina zone returned 17g/mt to 300 g/mt silver and 0.50 g/mt to 14.56 g/mt gold, averaging 136 g/mt silver and 5.32 g/mt gold.
  • Drift sampling on the Joramina zone returned a 5-metre composite returning 115.09 g/mt silver and 10m of 2.32 g/mt gold.
  • Sampling close to the drift returned 0.70m of 395.19g/mt silver and 17.41 g/mt of gold.
  • A random composite grab sample returned 242 g/mt silver and 0.20 g/mt gold from the undrilled Randypata zone 2 km silver anomaly.

Silver prices rose by approximately 173% in 2025, and many forecast the trend to continue. Based on internal studies, including metallurgical testing and internal economic studies completed by Newmont, Niñobamba is anticipated to be a shallow, low-cost open-pit operation with projected low extraction and processing costs. Increases in silver price should go directly to the bottom line of any future mining operation.

2025 was an organizational year, and 2026 will be a year to start delivering on the promise of this project. We are taking the correct steps to position our company and shareholders to realize the potential of Niñobamba. Our efforts are designed to expand on historical results and create long-term incremental value for all stakeholders. We appreciate your continued support.

Sincerely,

Stephen Barley, Chairman & CEO

Vancouver, British Columbia–(Newsfile Corp. – December 1, 2025) – Magma Silver Corp. (TSXV: MGMA) (OTCQB: MAGMF) (FSE: BC21) (WKN: A411DV) (the “Company” or “Magma“) is pleased to provide an update on the planned drill program for Q1 2026. The drill program will consist of two phases with a total of 4,000 metres.

Stephen Barley, Chairman and CEO, stated: “The commencing of a drill program at Ninobamba is exciting and a major accomplishment. Newmont Mining Corp. (“Newmont”) spent US$7 m in historical work including 65 diamond drill holes with a focus on the Joramina zone. The drilling in conjunction with other extensive exploration activities, including a fatal flaw analysis, led to a positive internal report in 2011 with a significant conceptual non-complaint gold and silver resource. Magma has all Newmont work program results including drill logs, assay reports, and drill collar locations. These documents have provided Magma with a tremendous project knowledge advantage that increases the level of certainty in drill location and orientation providing the Company’s technical team with the information to design a drill program to confirm the Newmont results and to optimize the drilling program. This is a tremendous saving in terms of time and expenditures.”

The Company’s geologists have reviewed historical drilling conducted by Newmont and determined that the drilling was not oriented in the most optimal direction. The Company plans to modify the current permit to reflect the new drill sites. Adding or modifying new drill pads is permitted by the mining ministry in Peru as the new pads will be located in the area covered by the existing permit. Phase 1 will consist of 2,000 meters of drilling from Pad A. The purpose of the initial drilling is to determine the orientation and size of the gold zone intersected by Newmont. For reference, hole JOR-001 drilled in 2010 returned 72.3 metres of 1.19 g/t Au starting at a depth of 53 metres. The true widths of mineralization from this drill hole cannot be determined from a single hole. Further drilling is required to determine both the lateral and vertical extent of the mineralization intersected.

Phase 2 will be contingent on results from Phase 1. Phase 2 is planned to extend the Au-Ag mineralization. This phase will also test previously undrilled Au-Ag surface anomalies outlined by Newmont and confirmed by the Company’s geologist. The drilling will also test the Au-Ag mineralization exposed in a 160 m adit recently sampled by the Company. Drift sampling on the Joramina zone returned 10 metres of 2.32 grams per tonne gold and a five-metre composite returning 4.085 ounces (115.8 g) per ton of silver.

Proposed Expanded Exploration Program

Magma has allocated US$1,000,000 (CAD$1,400,000) for the Joramina exploration and drill program. This is a significant increase from the original drilling plan and is expected to allow the Company to thoroughly test and confirm the Newmont drilling results. Magma’s experienced technical team is currently planning the entire work program in conjunction with an independent NI 43-101 geologist. Magma will issue a news release outlining the Joramina program, drill locations and timing when it is available.

The following diagram shows the proposed drill program. Pad A is where the initial drilling will commence.

Vancouver, British Columbia–(Newsfile Corp. – November 6, 2025) – Magma Silver Corp. (TSXV: MGMA) (OTCQB: MAGMF) (FSE: BC21) (WKN: A411DV) (the “Company” or “Magma“) is pleased to announce the granting of a drill permit to allow drilling on the Joramina zone and also provides an outline of a proposed exploration plan on the advanced Niñobamba silver gold project in Peru.

Stephen Barley, Chairman & CEO of Magma stated: “The Niñobamba project is comprised of three contiguous properties now controlled by Magma, totalling 4,100 hectares: the Joramina, Randypata, and the Niñobamba Main. The MINISTERIO DE ENERGÍA Y MINAS in Peru has granted a drill permit to commence drilling on the Joramina zone. This is an important milestone as drill permits are detailed and require a significant effort to obtain. Our Peruvian-based technical team, led by our General Manager, Carlos Agreda (see news release dated July 9, 2025) and supervised by our Senior Technical Advisor, Jeffrey Reeder, has the experience to apply for drilling permits successfully. The recent $5,000,000 private placement financing (see news release dated October 23, 2025) has provided Magma with the necessary funding to substantially increase the initial drill program on the Joramina zone. The Joramina zone was the focus of Newmont Corporation’s (“Newmont”) 2011 non-compliant internal report, which detailed a significant gold and silver resource. The Newmont report was based on US$1,200/ounce gold and US$20/ounce silver, the prevailing market prices at the time of the report.”

Drill Permit

The permit was granted by the MINISTERIO DE ENERGÍA Y MINAS in Peru on October 17, 2025. The permit has a duration of fourteen (14) months from the date of issuance. The permit entitles Magma to drill from 20 drill pads. Multiple directional drilling can be completed from each drill pad. Magma believes the permit is sufficient to complete all planned drilling on the Joramina zone. The Company discovered a drift in the Joramina zone that Newmont did not report. During the recently completed Phase 2 work program, testing in and around the drift returned high-grade results, including 10 metres of 2.32 grams gold/tonne and a 5-metre composite returning 4.085 ounces silver/tonne. Sampling close to the drift on the Joramina zone returned 0.70 metres of 17.41 grams gold/tonne and 13.94 ounces silver/tonne. (see news release dated October 30, 2025). The Company may be able to drill from inside the drift, located within the Joramina zone. This would require a modification to the drill permit, which should be readily available.

Magma will issue a news release outlining the Joramina program, drill location, and timing when it is available.

Finder’s Fees

Further to the Company’s news release dated October 23, 2025, the Company advises that it has issued additional finder’s fees, resulting in an aggregate total of $298,797 in cash and 1,962,806 finder’s warrants.

Vancouver, British Columbia–(Newsfile Corp. – October 30, 2025) – Magma Silver Corp. (TSXV: MGMA) (OTCQB: MAGMF) (FSE: BC21) (WKN: A411DV) (the “Company” or “Magma“) is pleased to provide an update on the Q3 ongoing work program on the Joramina and Randypata properties on the advanced Niñobamba silver gold project in Peru.

Highlights:

  • Drift sampling on the Joramina zone returned 10 metres of 2.32 grams Au/tonne and 5-metre composite returning 4.085 ounces Ag/tonne.
  • Sampling close to the drift on the Joramina zone returned 0.70 metres of 17.41 grams Au/tonne and 13.94 ounces Ag/tonne.
  • A random composite grab sample returned 0.20 grams Au/tonne and 8.55 ounces Ag/tonne on the undrilled Randypata 2 km silver anomaly.

Stephen Barley, Chairman & CEO of Magma stated: “The Niñobamba project is comprised of three contiguous properties now controlled by Magma, totalling 4,100 hectares: the Joramina, Randypata, and the Ninobamba Main. The Q3 work program consisted of sampling and additional geological mapping. The purpose of the exploration program was to validate the previous results and to aid in designing a drill program. Phase 1 and 2 results confirmed the accuracy of the historical Newmont results and, in some instances, exceeded the earlier results. Furthermore, geologic mapping shows that the previous drilling may not have been in the most optimal direction. Our geological team will determine a new drill direction. Community engagement has been excellent, and we appreciate the ir hard work during the initial two phases of work.”

Phase 2 Q3 Work Program Results

The Phase 2 field campaign lasted 10 days and it was conducted by Senior Geologist Edgar Leon (see news release dated July 16, 2025) and Junior Geologist Miller Fernandez, with the support of six community members from the local Tunsulla community. The work was a continuation of the Phase 1 program summarized in the Company’s news release dated September 18, 2025.

The Phase 2 program focused on the Joramina and Randypata Zones. Several old mine workings were located and sampled in both exploration phases. A long, well-developed 157 metre drift trending with an azimuth of 120 degrees was located within the main Joramina area, yet it was never documented in any of the previous operator exploration programs. Thirty-one samples were taken from the drift in 5-meter composite chips. The best gold results show two consecutive samples returning 10 metres of 2.32 grams Au/tonne. The best silver result was a 5-metre composite returning 4.085 ounces Ag/tonne. The drift is within the area of the proposed drilling and is in excellent condition and may be used in the future for underground drill sites.

Additional surface sampling was conducted approximately 100 metres northeast of the drift confirming that the silver-gold mineralization is structurally controlled with several fractures and veinlets trending NE-SW dipping Northwest. One chip sample across 0.70 metres returned 17.41 grams Au/tonne and 13.94 ounces Ag/tonne. Galena (Lead Sulphide) and Sphalerite (Zinc Sulphide) are present in the veins but have not yet been assayed for these elements. The Company will assay some of the samples for lead and zinc when check assays are being performed.

Phase 2 program also included a brief surface review of the Randypata Zone. Twenty-one samples were taken over the historic 2-kilometre Ag anomaly. This area is untested by drilling. The best result came from an area where a road cut exposed a strongly oxidized breccia, where a random composite grab sample returned 0.20 grams Au/tonne and 8.55 ounces Ag/tonne. Follow-up work is required in this area to determine the extent of the Ag mineralization.

Magma is pleased with the results of the first two phases of the initial exploration programs. The Company is now convinced the previous drill programs did not adequately test the Joramina zones. A drill program will be designed to test the gold-silver mineralized structures with the optimal drill direction.

Seventy samples were collected during phase 2 and analyzed at the Independent Mining Lab Services based in Huancayo in south-central Peru. The analysis method was by fire assay, and every 10th sample will be re-assayed at another independent assay lab in Lima, Peru, for quality control.

Vancouver, British Columbia–(Newsfile Corp. – September 18, 2025) – Magma Silver Corp. (TSXV: MGMA) (OTCQB: MAGMF) (FSE: BC21) (WKN: A411DV) (the “Company” or “Magma“) is pleased to provide an update on the Q3 ongoing work program on the Jorimina and Randypata properties on the advanced Niñobamba silver gold project in Peru.

Highlights:

  • Phase 1 assays have confirmed or exceeded the historical Newmont Mining Corp. (“Newmont”) results.
  • Four old mine workings located immediately north of the Jormina Central project were sampled with 5 samples averaging 5.32 g/mt Au and 4.812 oz/mt Ag. Results ranged from 0.50 g/mt to 14.56 g/mt Au and 0.604 oz/mt Ag to 10.594 oz/mt Ag.
  • Phase 2 work program commenced this week, with results expected within the next few weeks.

Phase 1 Q3 Work Program Results

The Phase 1 field campaign lasted 10 days. It was conducted by Senior Geologist Edgar Leon (see news release dated July 16, 2025) and Junior Geologist Miller Fernandez, with the support of six community members from the local Tunsulla community. The main goal was to visit the Jorimina Central project (also known as the Red Zone) to collect geochemical samples and structural data on faults, veining, and fracturing. Additional visits were made to the surrounding areas of Jorimina SE, Rafaela, and Red Cliff. Community members from Tunsulla helped rehabilitate and improve access to the visited regions, particularly a road that had been abandoned since Newmont’s earlier work.

Seventy-five samples were collected during Phase 1 and analyzed at the independent Mining Lab Services based in Huancayo in South Central Peru. The analysis method was by fire assay, and every tenth sample will be re-assayed at another independent assay lab in Lima, Peru for quality control. The gold and silver sampling results showed good correlation with those obtained previously by Newmont: In Jorimina Central, where the strongest alteration and geophysical chargeability anomaly occur, 50 samples averaged 0.181 g/mt Au and 0.227 oz/mt Ag, with one sample (SA-035) reaching 1.0 g/mt Au.

  • Four old mine workings located immediately north of the Jormina Central were sampled with 5 samples averaging 5.32 g/mt Au and 4.812 oz/mt Ag. Results ranged from 0.50 g/mt to 14.56 g/mt Au and 0.604 oz/mt Ag to 10.594 oz/mt Ag.
  • In Jorimina NE, 10 samples averaged 0.135 g/mt Au and 0.0656 oz/mt Ag, with two samples showing 0.20 g/t Au.
  • In Rafaela, 10 samples averaged 0.21 g/mt Au and 1.1652 oz/mt Ag, with a maximum of 0.4 g/mt Au and 7.0 oz/mt Ag (SA-067).

Stephen Barley, Chairman & CEO of Magma stated,

“The Niñobamba project is comprised of three contiguous properties now controlled by Magma, totalling 4,100 hectares: the Jorimina, Randypata, and the Niñobamba Main. The Q3 work program consists of sampling and additional geological mapping, which is divided into two phases. It is designed to confirm historical results on the Jorimina and Randypata properties and to assist in drill targeting and orientation for a planned drill program in Q4. The Phase 1 results have confirmed the accuracy of the historical Newmont results and, in some instances, have exceeded the earlier results. The Phase 2 work program has commenced this week, and the results are expected within the next few weeks. The Phase 2 program will focus on additional sampling of other property features, including the two km-long untested silver anomaly on the Randypata property. Community engagement has been excellent.”

Jorimina and Randypata Properties – Newmont Mining Corp.

The historical exploration work conducted by Newmont on the Jorimina and Randypata properties consisted of 3,536 rock samples, 2,988 channel samples, ground magnetics, and 4,377 meters (Jorimina) and 3,504 meters (Randypata) of diamond drilling and assays. Results included: Hole JM1: from 53.1 to 125.4 (72.3m) 1.19 g/t gold and from 184.75 to 209.35 (24.6 m) 1.07 g/t of gold. Results and discussion are provided in Newmont’s internal report dated January 2010, “Informe Técnico y Geológic Proyecto Niñobamba Mayo – Diciembre 2009”. (See news release dated July 23, 2025.)

Newmont conducted more than two years of prospecting and exploration on only the Jorimina and Randypata properties at a total cost of CAD$10m. Newmont had no interest in the Niñobamba Main property that Bear Creek and AngloGold controlled. Newmont was focused on gold and did not drill test features such as the 2km long silver anomaly on the Randypata property.

Newmont prepared an internal report dated August 2011, on the results and conclusions from the exploration work conducted on Jorimina and Randypata. Newmont undertook a fatal flaw analysis and completed metallurgical testing. In this non-reported internal analysis, operating costs that were typically used in the industry at that time were considered in accordance with the scale of exploitation of the project and the type of mineral treatment. A conservative projection of prices for the price of gold and silver (gold: US $ 1,200 / ounce and silver: US $ 22 / ounce) were used. The estimated investments, based on a scale of operation for the project and infrastructure, were derived from examples of Peruvian mining operations. Based on this internal study, Newmont concluded that if the conceptual assumptions used in the assessment were verified, a medium-scale economic operation could be possible, and with the possibility of expanding the operation based on the potential of additional mineralization.

Readers are cautioned that the Newmont internal analysis is not compliant with National Instrument 43-101 requirements. The modelling was based on limited drilling and assumptions. The report will assist in guiding Magma on future exploration efforts. Magma’s Qualified Person has not verified the Newmont assessment or done sufficient work to classify the historical estimate as current. Magma does not consider the internal report to be a current economic assessment.

Vancouver, British Columbia–(Newsfile Corp. – July 30, 2025) – Magma Silver Corp. (TSXV: MGMA) (OTCQB: MAGMF) (FSE: BC21) (WKN: A411DV) (the “Company” or “Magma“) is pleased to announce the commencement of a summer work program designed to evaluate and define targets for the planned Q4 drill program that will follow-up on previous work to identify new drill site locations at the advanced Niñobamba silver-gold project in Peru.

Stephen Barley, Chairman & CEO, stated, “We are excited to start a work program at the advanced Niñobamba silver-gold project focused on the Jorimina and Randypata deposits. As announced in our news release dated July 23, 2025, the Tunsulla community access agreement is in place for these two project areas, allowing the Company full access to conduct exploration activities. The work being carried out will assist in refining drill targets for our planned Q4 drill program as well as expand our overall knowledge of the deposits.”

Q3 Work Program

The historical drilling by Newmont Corporation (“Newmont”) on the Jorimina and Randypata deposits consisted of 3,536 rock samples, 2,988 channel samples, ground magnetics, and 4,377 meters (Jorimina) and 3,504 meters (Randypata) of drilling and assays. Results included: Hole JM1: 53.1 to 125.4 (72.3m) 1.19 g/t of gold and hole JM1: 184.75 to 209.35 (24.6 m) 1.07 g/t of gold. Results and discussion are provided in Newmont’s internal report dated January 2010, “Informe Técnico y Geológic Proyecto Niñobamba Mayo – Diciembre 2009”. (See news release dated July 23, 2025.)

The work conducted by Newmont mainly focused on gold. The historical drilling program conducted was widely spaced diamond drill holes. Management believes that Newmont’s work should be followed up on as they may have missed significant mineralized silver and gold zones. Tighter drill space around JM-01 is required to better understand the nature and orientation of the mineralized zone. The work program will focus on refining drill targets and examine overlooked zones which contain surface silver-gold anomalies. As an example, the prospective Randypata silver zone exhibits a 2 km long silver anomaly that has never been drilled. The work program will be led by Senior Geologist, Edgar Leon (see news release dated July 16, 2025) and supervised by Jeffrey Reeder, P. Geo., Senior Technical Advisor.

SOURCE Magma Silver Corp.

Vancouver, British Columbia–(Newsfile Corp. – June 18, 2025) – Magma Silver Corp. (TSXV: MGMA) (OTCQB: MAGMF) (FSE: BC21) (WKN: A411DV) (“Magma” or the “Company”) is excited to share a significant update on its flagship Niñobamba silver-gold project (the “Project”) located in the mineral-rich Ayacucho Department of Southeast Peru.

Highlights:

  • Property Payments Made: All payments to the Peruvian agencies have been made and all claims are in good standing until June 2026.
  • Full Project Control Secured: Magma controls all three contiguous zones-Niñobamba, Jormina, and Randypata-within the Project.
  • Drilling Planned for Q4 2025: A diamond drilling campaign is planned at Jormina, supported by an existing surface access agreement and a drilling permit application.
  • Strong Historical Results: Previous exploration by Newmont and AngloGold revealed promising intercepts, including 72.3 m @ 1.19 g/t gold and 130 m @ 87 g/t silver.
  • Extensive Exploration Investment: Over US$10 million has already been invested by Newmont, AngloGold, and Bear Creek, including a pre-feasibility study by Newmont suggesting potential for a mid-sized mining operation.
  • Upcoming Exploration in Q3 2025: Planned activities include geophysical surveys, mapping, and channel sampling to define new high-grade drill targets at Niñobamba.

Magma holds a 100% option on the 4,100-hectare Niñobamba Project, which encompasses three high-potential mineralized zones: Niñobamba, Jormina, and Randypata. All three zones are under Magma’s control, opening new avenues for exploration and development. A community surface access agreement is already in place for the Jormina and Ranypata zones, paving the way for an upcoming diamond drilling campaign at Jormina. The drilling permit has been applied for and is anticipated in Q3 2025.

The Jormina and Ranypata zones lie approximately 6.5 kilometers west of Niñobamba zone. Magma has secured an extensive exploration database from Newmont Mining Corp. (“Newmont”), including diamond drill logs, assay results, geophysical data, and metallurgical studies. Over US$10 million has been invested in exploration since 2002 by Newmont, AngloGold, Rio Silver and Bear Creek. Notably, Newmont alone contributed US$7 million to drilling and completed an internal pre-feasibility study highlighting the area’s potential to support a mid-sized mining operation. The study also pointed to the possibility of a much larger discovery, with geological indicators suggesting proximity to a porphyry source (Newmont Internal Memo, 2012). Comparisons have also been drawn to Barrick’s prolific Pierina gold mine, further underlining the Project’s vast potential. (There is no guarantee Magma will achieve similar results.)

Historical exploration by Newmont (2009-2010) at Jormina included over 65 diamond drill holes totaling 4,377 metres. Highlight results include hole JOR-001, which intersected 72.3 metres grading 1.19 g/t gold from 53 metres depth. Additional drilling is needed to determine the full extent and geometry of the mineralization. Earlier, in 2002, AngloGold drilled the Niñobamba zone and reported standout intercepts including 87 g/t silver over 130 metres in DDH-2 and 54 g/t silver over 96 metres in DDH-4, starting near surface. The true widths of these intercepts remain to be confirmed.

A 2012 trenching program by Rio Silver at Niñobamba North uncovered new high-grade zones, with trench TR-01 returning 56 metres of 1.03 g/t gold and 98.9 g/t silver, and trench TR-04 yielding 21.77 metres of 1.32 g/t gold and 102.46 g/t silver. These findings demonstrate a strong gold component associated with high-sulfidation mineralization, warranting further study to better understand the zonation, alteration patterns, and widths.

Looking ahead, Magma plans to initiate additional exploration activities in Q3 and Q4 2025. This includes Alpha IP geophysical surveys, detailed geological mapping, and channel sampling-with a focus on investigating the newly discovered high-grade gold zones at Niñobamba. These efforts aim to define compelling drill targets for upcoming campaigns. Vancouver, British Columbia–(Newsfile Corp. – May 27, 2025) – Magma Silver Corp. (TSXV: MGMA) (FSE: BC21) (WKN: A411DV) (the “Company“) is pleased to announce the closing of the second tranche of its non-brokered private placement for gross proceeds of CAD $597,850 (the “Second Tranche“) for a total of $1,500,000 for both tranches. For information respecting the first tranche of the Company’s non-brokered private placement, please see the Company’s news release dated April 15, 2025.

Second Tranche Private Placement

The Company closed the Second Tranche through the issuance of 5,978,500 units (each a “Unit“) at a price of CAD $0.10 per Unit for aggregate proceeds of CAD $597,850. Each Unit consists of one (1) common share of the Company (a “Share“) and one-half of one (1/2) common share purchase warrant (each whole warrant, a “Warrant“). Each Warrant entitles the holder thereof to acquire one (1) additional common share in the capital of the Company (a “Warrant Share“) at a price of $0.20 per Warrant Share at any time prior to 5:00 p.m. (Vancouver time) on the date that is 24 months following the closing date, subject to acceleration (as described herein). The Warrants are transferable but not listed for trading. If during the period beginning four months and one day after the closing date, the Company’s shares trade on the TSXV at or above a daily volume weighted average trading price of $0.50 per Common Share for ten (10) consecutive trading days, the Company will be entitled to give notice that the Warrants will expire thirty (30) days from the date of providing such notice.

In connection with the Second Tranche, the Company paid $22,000 in finder’s fees and issued 220,000 finder’s warrants, each exercisable into one (1) common share of the Company, at an exercise price of $0.20 for 24 months following the closing date.

The securities issued pursuant to the Second Tranche are subject to a hold period whereby the securities shall be released four (4) months plus one (1) day from the closing date of the Second Tranche. The Company plans to use the net proceeds from the Second Tranche for work programs on the Niñobamba advanced stage silver gold project in Peru and for general working capital.

The Second Tranche closing involved the issuance of an aggregate of 28,500 Units to directors, officers and insiders of the Company for gross proceeds of $2,850. Accordingly, the issuance of such securities (collectively, the “Insider Participation“) constituted “related party transactions” within the meaning of Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions (“MI 61-101“). The Company was exempt from the requirements to obtain a formal valuation and minority shareholder approval in connection with the Insider Participation in reliance on sections 5.5(a) and 5.7(1)(a) of MI 61-101, as neither the fair market value of the Insider Participation nor the securities issued in connection therewith exceeded 25% of the Company’s market capitalization.

The securities issued under the Second Tranche have not been, nor will they be, registered under the United States Securities Act of 1933, as amended, and may not be offered or sold in the United States or to, or for the account or benefit of, U.S. persons absent registration or an applicable exemption from the registration requirements.

The Company plans to use the net proceeds from the Second Tranche for work programs on the Niñobamba advanced stage silver gold project in Peru and for general working capital.

The securities issued under the Second Tranche have not been, nor will they be, registered under the United States Securities Act of 1933, as amended, and may not be offered or sold in the United States or to, or for the account or benefit of, U.S. persons absent registration or an applicable exemption from the registration requirements. Eastern Gold-in-Soil Anomaly – Sulphide Mineralisation and Follow-Up Drilling

As previously reported, Hole COPE-PDH-004 intersected a substantial sulphide-bearing interval encountered during the program, which prompted the Company to drill Hole COPE-PDH-009 to further investigate this mineralised zone.

Key geological observations from drilling at the eastern anomaly include:

  • A zone of sulphide mineralisation over approximately 30 meters in hole COPE-PDH-004 (chalcopyrite-pyrite) and 5 metres (bornite – chalcopyrite and pyrite) in hole COPE-PDH-009.
  • Bornite* observed for the first time at the Copeçal Project in hole COPE-PDH-009.
  • Sulphide mineralisation associated with phyllic alteration

*Bornite is a copper-iron sulphide mineral commonly associated with hydrothermal mineral systems, including porphyry- and structurally controlled environments. While the presence of bornite and other sulphides does not confirm the presence of economic mineralisation, this assemblage indicates multi-phase hydrothermal fluid activity and provides an important geological vector that will be further assessed once assay results are available.

Hole COPE-PDH-009 was designed to test the continuity and geological context of the sulphide-bearing interval intersected in Hole COPE-PDH-004. All core from these holes is being logged and sampled, with analytical results pending.

Western Gold-in-Soil Anomaly – Deep Saprolite Profile

Drill holes COPE-PDH-005 through COPE-PDH-008, which targeted the western gold-in-soil anomaly, intersected a substantially thicker saprolite profile extending to approximately 60 metres downhole.

While no visible sulphides were observed in fresh core, the following geological features were logged:

  • Shearing, alteration, and quartz veining.
  • A thick weathered profile suggesting that any gold mineralisation present may have been intersected within saprolite.
  • Potential oxidation of any primary sulphide mineralisation originally present within the weathered zone.

Accordingly, assay results from saprolite intervals will be required to properly evaluate the gold potential of the western anomaly.

Regional Geological Context

The Copeçal Project is located within the broader Alta Floresta Mineral Province, a Paleoproterozoic belt recognised for hosting multiple gold and copper occurrences. Mineralisation within the region is commonly associated with:

  • Structurally controlled hydrothermal systems
  • Quartz veining and phyllic alteration
  • Sulphide assemblages that may include pyrite, chalcopyrite and locally bornite

These regional characteristics provide important geological context for the sulphide and alteration assemblages observed at Copeçal and will inform ongoing interpretation and future exploration planning.

Sampling, Assays and Next Steps

  • Logging and sampling of all remaining drill core is ongoing
  • Samples will be submitted to ALS Laboratories prior to year-end
  • Assay results will be reported as they are received, in accordance with CSE disclosure requirements

The Company emphasises that mineral exploration is inherently high-risk, particularly at an early stage, and that geological observations alone are not indicative of economic mineralisation. Nevertheless, GoldHaven believes the geological knowledge gained from this inaugural diamond drilling program has significantly advanced the understanding of the Copeçal Project and represents an important step toward refining future exploration strategies.

GoldHaven remains encouraged by the results to date and looks forward to providing further updates as analytical results become available.

Rob Birmingham, CEO of GoldHaven Resources, commented:

“Intersecting sulphide mineralisation in Hole COPE-PDH-004 and subsequently in follow-up Hole COPE-PDH-009 at our East Target during a first-pass drilling program has provided valuable new geological insights. These results continue to enhance our understanding of the system as we integrate geological, structural, and geochemical data to refine targeting across both the East and West anomalies, as well as other prospective targets identified from our newly developed 3D diamond drilling dataset at Copeçal.”

About the Copeçal Gold Project: A Brief History

The Copeçal Gold Project is strategically situated within the Alta Floresta Gold Province, a historically productive region that has yielded substantial gold discoveries since the late 1970s. GoldHaven’ s tenements cover a total of 3,681 hectares in a geologically favourable setting within the Juruena Gold Province of Brazil.

Figure 5: Location of the Copeçal Gold Project within Alta Floresta gold province, with competitor locations.

The Juruena Gold Province, also known as the Juruena Magmatic Arc, is an orogenic belt highly prospective for mesothermal shear-related and intrusion-related gold deposits, such as G-Mining’s Tocantinzinho deposit. Additionally, the region hosts recently identified porphyry-style deposits (e.g., Serabi, Jaca) and epithermal-style deposits (e.g., X1, Aura). The presence of multiple deposit styles, along with the confirmation of large-scale gold deposits in the Juruena Province of Brazil, underscores the significant potential of the Copeçal Gold Project.

Recent exploration programs, including geochemical soil sampling, drone-mounted magnetometry surveys, and historical drilling data, indicate the presence of multiple gold-bearing structures. Notably, AngloGold Ashanti previously conducted systematic exploration on the property from 2010 to 2016, including auger and air-core drilling, geophysical surveys, and rock geochemistry, identifying multiple zones of anomalous gold mineralization.

The Copeçal Gold Project benefits from extensive historical work, with AngloGold Ashanti’s exploration confirming gold and arsenic anomalies, indicative of significant mineralization potential. Soil sampling grids and follow-up auger drilling in key areas revealed consistent gold values over wide zones, further supporting the presence of a substantial mineralized system.
